What is the best company structure?

Most companies being registered in Zimbabwe are companies limited by shares popularly known as Private Limited Companies (PLC’s). They are used to conduct normal commercial business with the purpose of the owners (shareholders) making a profit, whilst providing limited liability protection that is, the shareholders personal finances and property is protected should the company hit financial problems.

Alternatively, you can register a Private Business Corporation (PBC). This is usually registered by small businesses or proffesionals who might want to operate as individuals such as architects, accountants, business consultants etc but want to retain limited liability.

*Some types of businesses cannot be registered as a PBC e.g. pharmacies, security companies or financial services company since the requirements of the MCAZ, MOHA or the RBZ don’t accommodate a PBC.

Company registration in Zimbabwe cost US$65.00 for the Starter Private Business Corporation Package and US$120 for the Starter Private Limited Company Package. What are the requirements for company registration in Zimbabwe?

How long does it take to register a company?

With us, it will only take you 5 minutes to complete your company registration form online or at our office. This will include the details of your new company. Then, we’ll conduct a name search to determine the availability of your proposed company names. The name search results are usually out within 24 working hours. We will prepare the company documents and forward them to the Companies Registry for registration. They usually take between 7 to 9 working days to incorporate your company. However, if if you need your company earlier, communicate with us so we can arrange an express service.

Do you offer payment options?

We understand that money might not be available in abundance when starting a business. We allow our clients to pay a deposit of 70% and balance on collection of documents.

Are there any hidden costs?

There are no hidden costs for any of our packages. We advertise a fair, transparent cost for our services, so there are no unexpected fees. We include the Registrar of Companies charges with all our registration packages. This fee is charged on all new registrations and is included in the price you see. Can I register as an individual (sole trader)?

Yes you can as a Private Business Corporation. A Private Business Corporation caters for sole traders. It only requires at least 1 member whereas a Private Limited Company requires that there be at least 2 directors. However, a private limited company allows 1 shareholder which is always the best option.

Do I need to be in Zimbabwe to register my own company?

No you don’t need to be in Zimbabwe to register a company. You can register a company from anywhere in the world. If you are not in Zimbabwe and you have a director who is ordinarily a resident of Zimbabwe and you have a Zimbabwean company physical address then just choose an of our company registration packages. If you do not have any of the two, don’t worry, just take advantage of our non-resident packages.

What documents do I receive when I register a company?

It depends ith the company structure you choose.

For a Private Limited Company you will receive:

Certificate of Incorporation
CR 5 – List of company addresses
CR 6 – List of company directors, secretary and principle officer
Memorandum and Articles of Association.

For a Private Business Corporation you will receive:

Certificate of Incorporation
Statement of Incorporation.

Other extras e.g a ZIMRA Tax Clearance will depend on the package you choose.

Can I register a company in Zimbabwe on my own?

No you can’t register a company on your own. The Companies Registry does not conduct any business with individuals or unregistered consultants or lawyers; company registration in Zimbabwe can only be done through a registered company registration agent such as Register Your Company. Register Your Company is a registered company registration agent registered with the Deeds, Companies and Intellectual Property (DCIP). We are also a member of Zimbabwe Association of Company Registration Agents (ZACRA) an organisation for company registration agents in Zimbabwe.
